Inside the template

Overview

Every custom silicone program on our floor involves buyer information that has commercial value — CAD geometry, target volumes, retail channel, brand artwork, launch timing, cost targets. Wetop offers a mutual non-disclosure agreement as the standard first document exchanged before any of that information reaches our engineering desk.

We sign an NDA before you send CAD. If you do not have a preferred template, we provide ours. If you have your own template, we redline it against ours in one business day.

What the NDA covers

The mutual NDA we sign as a default covers, from both directions:

  • Product designs and specifications — CAD files, drawings, spec sheets, tolerance envelopes, material formulations
  • Program details — target volumes, order timing, retail launch dates, channel strategy, pricing targets
  • Brand artwork and identity — trademarks, logos, IML artwork, color specifications, packaging designs
  • Customer identity itself — the fact that a specific buyer is evaluating a specific program with Wetop
  • Commercial terms — quotations, cost breakdowns, payment terms, tooling amortization schedules
  • Third-party information — anything shared under this NDA that identifies a customer of the customer (retail chain, end-brand)

The NDA runs in both directions. Wetop’s proprietary information — mould-cutting methodology, cure recipes, QC procedures, supplier list — is also protected. Neither side gives up their existing IP by executing the NDA.

Retention & duration

  • Confidentiality period: 3 years from the date of last disclosure, or the duration of the program plus 2 years, whichever is longer
  • After termination: All CAD files, spec sheets, and brand artwork are removed from active systems on written request. Master-batch lot records, mould records, and QC certifications required for regulatory traceability (FDA / LFGB per-batch retention) are retained for 36 months per our compliance procedure, then destroyed
  • Publicly available information — data that becomes public through no breach by Wetop is not restricted under the NDA
  • Independently developed information — capabilities Wetop develops internally without reference to the customer’s disclosure remain Wetop’s

What we do NOT sign

To keep the process honest, Wetop declines a small set of clauses that we cannot operationally comply with. If your template includes these, we’ll flag them during redline:

  • Perpetual confidentiality without cause — we default to 3 years for retail programs, longer only when justified (regulated devices, novel-material programs, defense-adjacent)
  • Non-compete language that prevents Wetop from quoting competitor programs in the same product category — many buyers in the same category are legitimate customers of the factory; the NDA protects each program’s specifics, not the category. We will, however, agree to program-specific non-compete on named accounts when the volume commitment justifies it
  • Damages clauses that make Wetop the insurer of a program’s commercial success — we accept liability for factory-caused confidentiality breaches under normal reasonable-damages standards; we do not underwrite lost profits from a leak whose source was outside our factory
  • Blanket “audit rights” without notice — we agree to reasonable audit protocol with 5 business days’ notice, not on-demand access to production records

How to request the NDA

You have three ways to start:

  1. Ask us to send our template — email inquiry@wetopsilicone.com with a note that you would like our standard mutual NDA. We reply the same business day with a Word or PDF version, ready to sign.

  2. Send your own template — email us your template. We redline against ours within one business day. Most redlines close in 1-2 exchanges over 24-48 hours.

  3. Reference an existing NDA — if your organization already has a signed NDA with Wetop from a prior program, reference the program name and effective date in your first email. The existing NDA generally covers new programs unless materially different in scope (regulated devices, new brand entity, etc.).

What happens before the NDA is signed

We take reasonable care with any information you send us before the NDA is signed. In practice:

  • Product category and target-volume ranges shared in a first-touch email are treated as commercial-sensitive but not proprietary. Your name and company are recorded only in the mailbox that receives briefs and are not shared with production staff.
  • We do not review CAD files, spec sheets, or brand artwork before an NDA is signed. If you attach these to a first-touch email, we hold the attachment aside and reply with our NDA before opening it.

Programs that go directly to production

For programs where the buyer has an established manufacturing contract with Wetop (i.e. an existing master service agreement or long-form supply contract), the NDA provisions in that contract govern — separate NDAs are not signed per new SKU or per program under that umbrella agreement.
